This Non-Compete Agreement (hereinafter referred to as the "Agreement") is entered into on this _____ day of __________, 20__, by and between ___________________________ (hereinafter referred to as the "Employee") and ___________________________ (hereinafter referred to as the "Employer"), collectively referred to as the "Parties," with respect to the prohibition of certain competitive activities in the State of Ohio.

WHEREAS, the Employer engages in ___________________________, and maintains a place of business at _______________________________________, State of Ohio;

AND WHEREAS, the Employee agrees to not engage in certain activities competitive to the Employer's business during and after the term of employment in accordance with the terms and conditions set forth herein.

NOW, THEREFORE, in consideration of mutual covenants and agreements contained herein, and for other good and valuable consideration, the receipt of which is hereby acknowledged, the Parties agree as follows:

  1. Non-Compete Obligation: The Employee shall not, without prior written consent from the Employer, engage in any business activity that is in direct competition with the core business of the Employer within the state of Ohio for a period of __________ (___) [months/years] following the termination of employment.
  2. Geographical Limitation: The geographical area for the non-compete obligation under this Agreement shall be limited to _______________ within the State of Ohio.
  3. Remedies: The Employee acknowledges and agrees that any breach of the terms of this Agreement may result in substantial and irreparable damage to the Employer, for which remedies at law may be inadequate. Consequently, the Employer shall have the right to seek immediate injunctive relief in addition to any other rights and remedies it may have.
  7. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of laws principles.

This Agreement constitutes the entire understanding between the Parties and supersedes all prior discussions, agreements, and understandings of any kind. This Agreement may only be amended by a written document duly executed by both Parties.
